Terms & Conditions of Service

These terms govern all pest control, inspection and related services provided by Nexus Pest Control.

These Terms and Conditions (the "Terms") govern all pest control, inspection, and related services (the "Services") provided by Nexus Pest Control ("Nexus", "we", "us", or "our") to the customer named on the applicable work order, service agreement, or invoice (the "Client", "you"). By requesting, accepting, or paying for Services, the Client agrees to be bound by these Terms.

1. Scope of Services

  1. 1.1

    Nexus will perform the Services described on the applicable quote, work order, service agreement, or invoice, using methods, materials, and equipment selected at Nexus's professional discretion in accordance with applicable Ontario and federal pesticide legislation.

  2. 1.2

    Any services not expressly listed on the applicable work order or agreement are not included and may be quoted separately.

  3. 1.3

    Recommendations made by Nexus technicians (such as sanitation, exclusion, or structural repairs) are advisory. Nexus is not responsible for pest activity resulting from the Client's failure to act on such recommendations.

2. Access to Premises

  1. 2.1

    The Client shall provide Nexus with reasonable access to the property (the "Premises") at the scheduled service time, including access to interior areas, mechanical rooms, attics, crawl spaces, and exterior perimeter areas as required to perform the Services.

  2. 2.2

    If Nexus is unable to gain access at the scheduled time through no fault of its own, a trip or rescheduling fee may apply.

  3. 2.3

    The Client is responsible for securing pets, children, and vulnerable individuals away from treatment areas for the period specified by the technician, and for restricting access to treated areas until it is safe to re-enter.

3. Fees, Payment, and Late Charges

  1. 3.1

    All prices are quoted in Canadian dollars and are exclusive of HST unless otherwise stated. HST will be added to all invoices at the applicable rate.

  2. 3.2

    Payment is due upon completion of service unless other payment terms are agreed to in writing (e.g., for commercial or recurring service contracts).

  3. 3.3

    Overdue accounts bear interest at 2% per month (26.82% per annum) on any balance outstanding more than 15 days from the invoice date, to the maximum extent permitted by Ontario law.

  4. 3.4

    Nexus reserves the right to suspend further Services on any account with an overdue balance until payment is received in full.

  5. 3.5

    Additional charges (e.g., for fumigants, specialty products, wildlife exclusion materials, or extraordinary infestations) will be communicated to and approved by the Client before being incurred, where practicable.

4. Recurring Service Agreements

  1. 4.1

    Where the Client enrolls in a recurring or contract service plan, the plan continues on the agreed frequency until cancelled by either party with a minimum of 30 days' written notice.

  2. 4.2

    Early cancellation of a fixed-term commercial contract may be subject to a cancellation fee as set out in the applicable service agreement.

5. Service Guarantee

  1. 5.1

    Where a specific guarantee period is stated on the invoice or service agreement, Nexus will re-treat the affected area at no additional charge if the treated pest reappears within that period, provided the Client has not altered conditions at the Premises (e.g., new construction, water damage, or removal of exclusion materials) that would contribute to reinfestation.

  2. 5.2

    The guarantee does not cover pests not specified on the original work order, nor infestations arising after the guarantee period has expired.

  3. 5.3

    No guarantee is provided on inspection-only or one-time treatment services unless expressly stated in writing.

6. Client Responsibilities and Property Condition

  1. 6.1

    The Client shall disclose known conditions relevant to safe and effective treatment, including pregnancy, respiratory conditions, allergies, aquariums, food-handling areas, or organic certification requirements, prior to treatment.

  2. 6.2

    The Client is responsible for the security and condition of the Premises during and after treatment and shall indemnify Nexus against claims arising from the Client's failure to follow post-treatment instructions provided by the technician.

  3. 6.3

    Nexus is not liable for pre-existing damage, pest activity in inaccessible voids, or conditions that could not reasonably have been discovered during a standard inspection.

7. Limitation of Liability

  1. 7.1

    Nexus's total liability arising out of or related to the Services, however caused, shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.

  2. 7.2

    Nexus shall not be liable for indirect, incidental, or consequential damages, including loss of income, loss of use, or damage to goods stored on the Premises, except to the extent such exclusion is prohibited by law.

  3. 7.3

    Nothing in these Terms limits any liability that cannot lawfully be limited or excluded under the laws of Ontario, including liability for personal injury caused by negligence.

8. Materials, Equipment, and Records

  1. 8.1

    All equipment, unapplied materials, and service records remain the property of Nexus. Any Nexus equipment left temporarily on the Premises (e.g., monitoring stations, bait boxes) remains Nexus property and shall be returned or made accessible for retrieval upon request or contract termination.

9. Force Majeure

  1. 9.1

    Neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control, including severe weather, government orders, labour disruptions, or supply shortages. Affected obligations are suspended for the duration of the event.

10. Cancellation and No-Show Policy

  1. 10.1

    The Client may reschedule or cancel a scheduled appointment with at least 24 hours' notice at no charge.

  2. 10.2

    Cancellations with less than 24 hours' notice, or a missed appointment where access was not provided, may be subject to a service fee.

11. Set-Off

  1. 11.1

    The Client shall not withhold or set off any amount claimed to be owed by Nexus against amounts invoiced by Nexus without Nexus's prior written consent.

12. Privacy

  1. 12.1

    Nexus collects and uses Client contact and property information solely for the purpose of scheduling, performing, and invoicing Services, and does not sell or share this information with third parties except as required by law or to process payments.

13. Governing Law and Interpretation

  1. 13.1

    These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties attorn to the non-exclusive jurisdiction of the courts of Ontario.

  2. 13.2

    If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.

  3. 13.3

    In the event of a conflict between these Terms and a signed service agreement or work order, the signed agreement or work order shall prevail with respect to the specific matter addressed.

14. Amendments

  1. 14.1

    Nexus may update these Terms from time to time. The version in effect at the time Services are performed applies to that service.
